A Legal Disclaimer
Welcome to Logic Agency Inc. (“Logic,” “we,” “our,” or “us”). By engaging with our services—whether design, prototyping, production, or logistics—you (“Client,” “you,” or “your”) agree to the following Terms and Conditions. Please read them carefully before proceeding with any project.
1. Scope of Services
Logic Agency Inc. provides packaging design, prototyping, manufacturing coordination, and supply chain support. Specific services and deliverables will be defined in the project proposal or scope of work shared with the Client.
2. Intellectual Property (IP)
All original concepts, structural designs, and creative assets developed by Logic remain the intellectual property of Logic unless otherwise agreed in writing.
Upon full payment, finalized and approved designs may be transferred to the Client for commercial use. Logic retains the right to showcase work for portfolio and promotional purposes unless a separate NDA restricts this use.
3. Payment Terms
Unless otherwise stated, all invoices are due net 15 days from the invoice date. Late payments may incur a service charge of 1.5% per month on the outstanding balance.
Production projects typically require a 50% deposit prior to initiating work, with the balance due prior to shipment or as otherwise agreed in writing.
4. Revisions & Change Orders
Design projects include a defined number of revision rounds, as outlined in the proposal. Additional revisions or scope changes may be subject to added fees and timeline adjustments.
Any changes to approved specifications, artwork, or materials during production may result in additional charges and delays.
5. Production & Delivery
All lead times are estimates and depend on material availability, factory capacity, and final approval timelines. Logic is not liable for delays caused by third-party suppliers, shipping carriers, customs clearance, or force majeure events.
Shipping terms, responsibilities, and delivery locations will be outlined in each project scope or invoice. Clients are responsible for reviewing and approving all final proofs and pre-production samples.
6. Quality Assurance
Logic oversees quality control at various stages of production. However, final approval of pre-production samples is the Client’s responsibility. Once mass production begins, Logic is not liable for defects or issues not identified during sample review.
Any claims for damage, defects, or shortages must be submitted in writing within 5 business days of delivery.
7. Cancellation & Refunds
Design fees are non-refundable once work has commenced. For production projects, any cancellation after deposit may be subject to partial refunds depending on the stage of production, incurred costs, and factory policies.
8. Confidentiality
We respect the confidentiality of your products, strategies, and business information. Likewise, we expect mutual discretion regarding Logic’s proprietary processes, designs, and pricing.
If required, both parties may sign a mutual non-disclosure agreement (NDA).
9. Limitation of Liability
To the maximum extent permitted by law, Logic shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to loss of profits, production delays, or business interruption.
Our total liability shall not exceed the total fees paid by the Client for the specific project in question.
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles.
